SUBSCRIPTION PERIOD

By subscribing to our service, you agree to a recurring subscription for the period indicated at the time of purchase. Your subscription will automatically renew at the end of each subscription period unless you cancel your subscription.

PAYMENT

Subscription selection and payment is required in advance of each subscription period. You will be charged the subscription fee in accordance with the billing terms you agreed to at the time of purchase. Recurring payments will be posted on the subscription anniversary date. Payment services are provided by a third-party payment processor.

CANCELLATION

You may cancel your subscription at any time by contacting support@bitcoinhelp.tech. You agree that you will be responsible for all subscription fees incurred up to the date of cancellation.

REFUNDS

Subscription fees are eligible for a refund; however, refunds are at the Company’s discretion and dependent upon the circumstance of the appointment and subscription. We reserve the right to refuse a refund request. If, for any reason, you are not satisfied with our service, please contact us at support@bitcoinhelp.tech to request a refund. We will review your request and respond in a timely manner.

USE OF SERVICE

You agree to use our subscription service only for lawful purposes and in accordance with these terms of service. You agree not to use our service to infringe on the intellectual property rights of others, to transmit spam or other unsolicited communications, or to engage in any other activity that we determine to be inappropriate.

Communications standards and acceptance are governed by our SMS Terms & Conditions.

We may provide you with recommendations for the use of third-party tools, i.e., wallet providers over which we neither monitor nor have any control or input. You acknowledge and agree that we provide recommendations to various third-party wallets and applications on an “as is” and “as available” basis without warranties, representations, or conditions of any kind and without endorsement. INDEMNIFICATION

You agree to indemnify and hold the Indemnified Parties harmless from and against losses arising in connection with the Services, except for losses arising out of our own gross negligence or willful misconduct. You further agree to hold the Indemnified Parties harmless from losses arising out of actions taken or omitted in good faith by any Indemnified Party in reliance upon instructions from you. The Indemnified Parties are not responsible for any actions or omissions by any third party.

FORCE MAJEURE

Bitcoin Help shall not be liable for delays, failure in performance or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, labor shortages, pandemic, government regulations, or other catastrophe or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.

APPLICABLE LAW

Except where prohibited, disputes, claims and causes of action arising out of or related to services provided by Bitcoin Help shall be resolved under the laws of the United States, and except where prohibited, Wyoming law (without reference to its conflicts of laws principles), and participant agrees to submit any dispute to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming.

DISPUTE RESOLUTION

Any dispute with you or any person acting on your behalf (if applicable) which arises out of or is related to your use of this service, such understanding or arrangement shall be resolved by final binding arbitration administered by a private professional arbitrator and rules reasonably determined by the parties in writing, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. All parties expressly waive any rights to a jury trial. The arbitration will be conducted in the State of Wyoming, by an arbitrator with applicable industry expertise in the field of contracts, who shall be named in accordance with such rules. The award of the arbitrator shall be final and binding on all Parties and shall be accompanied by a statement of the reasons upon which the award is based. Such statements, as well as all information concerning such arbitration proceedings, including without limitation all evidence and materials submitted by all Parties and any decision rendered shall be deemed to be the confidential information and shall not be made public by you or any person acting on your behalf or for your interest (and any submission made to any court as part of such a proceeding shall be made under seal). If the party initiating such a proceeding does not prevail regarding a material part of its claim, then the initiating party shall pay the responding party’s costs and expenses, including but not limited to reasonable attorneys’ fees and costs as well as the costs for any counter claim asserted by the responding party. NO ARBITRATION OR CLAIM UNDER THIS AGREEMENT SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, AND NO CLASS ARBITRATION PROCEEDINGS SHALL BE PERMITTED. All Parties expressly waive any claim of improper venue and any claim that such court is an inconvenient forum.

GOVERNING LAW

These terms of service are governed by the laws of United States of America and any disputes arising from these terms of service will be resolved in the courts of Sheridan County, Wyoming.

MODIFICATION

Unless prohibited by law, we reserve the right to change these Terms of Service, including the subscription service fees and features of the service at any time. We will notify you in advance of any such change when required by law. We may notify you by posting a new version of these Terms of Service to our website at https://www.bitcoinhelp.tech/terms-of-service. If we have notified you of a change to these Terms of Service and you continue to use the service after the effective date of the change, you have agreed to the change. If you do not agree to the change, you must discontinue use of this service or any aspect of the service before the effective date of the change.
